On Canton, this deal contract has signatories issuer and custodian, with observers limited to the invited investor list. Non-invited parties scanning the ledger see nothing — no name, no terms, no capacity, no proof the deal exists at all. Your subscription, when created, is signed by issuer and you only — other invited investors do not see it. See daml/Tests/PrimaryTests.daml for the two privacy proofs.

Atomic DvP on Canton: in one ledger transaction we verify your KYC disclosure, transfer your cash leg, update deal capacity, and create your PrivateSubscription. If any step fails the whole thing rolls back.

What happens on Subscribe

1. Disclose your KYC attestation to the issuer (Canton Disclose choice).
2. Sign the AcceptSubscription command jointly with the issuer (submitMulti).
3. Atomic on-ledger: cash → custodian, capacity updated, PrivateSubscription created.
4. Failure modes (over-cap, wrong KYC, insufficient cash) roll the entire transaction back.
